What changed in 2025

FinCEN's interim final rule of March 2025 revised the definition of a reporting company to mean only entities formed under the law of a foreign country and registered to do business in a US state or tribal jurisdiction. Companies created in the United States, and their beneficial owners, are exempt.

Foreign reporting companies do not have to report any US persons as beneficial owners, and US persons do not have to provide their information.

Deadlines run from registration: 30 calendar days after a foreign company's registration to do business in the US becomes effective.
